A WLL can have one shareholder
Decree-Law 28/2020 permits a WLL with one or more shareholders and brought existing single-person companies into the WLL framework. A sole founder does not need a second shareholder simply to use a WLL.

Keep the legal form separate from the activity
A company type is not a permission to conduct every activity. Check the proposed activities and ownership conditions for the actual investors before selecting a form.
Do not use an office package, industrial location or a “free zone” label as a substitute for identifying the legal entity and its licences.

Ask different questions for each option
For a WLL, confirm ownership, management and company-document requirements. For a shareholding company, obtain advice on the applicable governance and capital rules. For a proposed branch, identify the overseas parent and the exact branch requirements.
- Write down who will own the business and who will manage it.
- Identify whether an existing overseas company is involved.
- Ask which obligations belong to the entity, the owners and the managers.

Include ongoing reporting in the choice
MOIC requires WLL companies to appoint an auditor and submit annual audited financial statements. The earlier claim that an audit starts only above BD50,000 capital should not be used for planning.
