Can I form a WLL on my own?
A WLL may have a single shareholder or multiple shareholders. Decree-Law 28/2020 amended Article 261 and brought existing single-person companies into the WLL framework. A separate SPC route is not needed simply because there is one founder.

How do I choose an activity and ownership structure?
Full foreign ownership depends on the selected activity, the investor’s nationality and applicable conditions. Check the current activity rules and amendments before choosing the ownership structure.
Capital requirements depend on the legal form, business activity and applicable ownership conditions. Confirm the requirements for the proposed company; they are not limited to CBB-regulated sectors.

What are the main preparation steps?
Use Sijilat to confirm the requirements for your selected activity and legal form. Prepare the relevant documents before submitting the application.
- Describe the proposed activity and identify the owners, managers and authorised signatories.
- Check the legal form, ownership conditions, capital and any sector approvals.
- Prepare name options, identity and company documents, and the address evidence required for the activity.
- Arrange company documents, translation, authentication or notarisation where required.
- Submit through the applicable Sijilat process and respond to authority requests. Confirm licences and approvals before starting the activity.

How long will formation take?
Processing depends on complete documents, the chosen activity and required approvals. Additional checks may apply to foreign individuals. Ask for an estimate based on your application rather than relying on a guaranteed setup date.

What should I plan for after registration?
WLL companies must appoint an auditor and submit annual audited financial statements under MOIC requirements. Plan for this when budgeting and keeping records.
Check employer and employee social-insurance registration at the relevant commencement or coverage trigger. Do not treat a fixed period after CR issuance as the rule for every case.
Tax obligations depend on the business and its group. Qualifying multinational groups may be subject to Bahrain’s Domestic Minimum Top-up Tax. Assess VAT registration under current NBR rules rather than assuming that company formation is tax-free.
