Can foreign investors own the WLL?

What capital and premises will I need?
Capital requirements depend on the legal form, business activity and applicable ownership conditions. Confirm the requirements for the proposed company; they are not limited to CBB-regulated sectors.
Check premises and licensing conditions for the selected activity. Do not assume a virtual office is accepted simply because the company is a WLL.

Does a WLL need an auditor?
WLL companies must appoint an auditor and submit annual audited financial statements under MOIC requirements. This obligation is not limited to companies above a stated capital threshold.

How should I assess costs, timing and tax?
Request an itemised quote for the required services and separate charges. Processing depends on documents, activity and approvals; this guide does not promise a completion date.
Tax obligations depend on the business and its group. Qualifying multinational groups may be subject to Bahrain’s Domestic Minimum Top-up Tax. Assess VAT registration under current NBR rules rather than assuming that company formation is tax-free.

Do I need a separate SPC for a one-person business?
A WLL can have one shareholder under the amended law. A separate SPC alternative should not be presented merely because there is one founder.
What should my WLL quote include?
Ask for the proposed formation scope, service fees, official and third-party charges, payment stages and ongoing accounting or audit work. Review exclusions and refund terms before accepting.
